Xenos Completes Acquisition of XML Global's Business Assets

Acquisition provides leadership positions in bridging proprietary software applications

TORONTO, Ontario, November 21, 2003 - Xenos Group Inc. (TSX: XNS), the data to e-content company™, today announced the closing of the transaction to acquire the business assets of XML-Global Technologies, Inc. ("XML Global").

XML Global is a software developer and vendor of XML middleware products. Xenos has acquired XML Global's intellectual property, customer relationships, and operating assets and retains all employees.

The acquisition results in a combined entity that puts Xenos in a leadership position in bridging incompatible proprietary applications to open standards, without the need to rewrite software or make changes to computer applications. Using XML Global's technology and services, computer applications can be integrated rapidly and easily, for faster return on investment.

XML Global's GoXML™ eBusiness product line is a set of intuitive, modular solutions that provide a business integration framework for data transformation, communication and storage of structured data for e-business requirements. Written in Java, the XML Global products are a strategic set of technologies that position Xenos for scalable growth in new horizontal, vertical and geographic markets.

Systems integrators typically encounter a gap in solving "the last mile problem of data integration"-where data structures must be mapped in a repeatable way between dynamic data sources. Xenos is now able to solve that problem with the GoXML product line.

XML is playing a pivotal role in many business areas, particularly in business-to-business data sharing, content management and application-to-application integration. The business-to-business data sharing market is dominated by the use of proprietary EDI data formats. The migration from proprietary EDI data formats to open XML data formats creates a large market opportunity for GoXML. Instead of having to make expensive code changes when business requirements cause EDI record formats to change, organizations can use the visual GoXML mapping and business rule software tool to accommodate these changes quickly and externally to the EDI applications.

In exchange for the XML Global assets, Xenos issued 1,000,000 common shares and paid US$ 1,250,000 cash, subject to closing adjustments. The Xenos shares issued at closing are subject to a 12 month contractual escrow period.

It is anticipated that this acquisition will be accretive to Xenos top line and to EBITDA in fiscal 2004.

All of the XML Global employees have become Xenos employees and will remain working in the current Vancouver office.
